Terms of Service

1. These terms
These terms form a binding agreement between PT WELLOPZ TEKNOLOGI SOLUSINDO, of KOMP BALOI MAS GARDEN BLOK J NO 6, Baloi Indah, Lubuk Baja, Batam, Kepulauan Riau, 29432, Indonesia("we", "us", "WellOpz") and the business that opens an account ("you", "the Venue"). They apply from the moment you create an account or use the platform.
If you are agreeing on behalf of a company, you confirm you are authorised to bind it.
2. What the service is
WellOpz is software for managing schedules, bookings, memberships, credit packages, customers and payments. We provide the software; we do not provide the fitness, wellness or other services you sell.
Your contract with your customer is yours alone. You are responsible for the services you sell, for their quality and delivery, for your own pricing, cancellation and refund policies, and for resolving your customers' complaints. We are not a party to that relationship.
3. Your account
You must give accurate business information and keep it current, including your legal entity name, registered address and tax identifier. You must tell us within five business days if your business type or the goods and services you offer change materially, because we and our payment processor must reassess eligibility.
You are responsible for your account credentials and for everything done by your staff accounts. Tell us promptly at [email protected] if you believe an account has been compromised.
4. Subscription fees and billing
Your subscription plan, price and billing cadence are shown at checkout and in your billing settings. Fees are charged in advance for each billing period and renew automatically until cancelled.
You may cancel at any time from billing settings. Cancellation stops future charges and takes effect at the end of the paid period. Amounts already charged are not refunded unless the law requires otherwise, or we state otherwise at checkout.
We may change subscription prices with at least 30 days' written notice. If you do not accept a price change you may cancel before it takes effect.
If a subscription payment fails, we may retry it. If it remains unpaid after all retries, we may suspend access until the balance is settled. Your data is retained during suspension in line with our Privacy Policy.
5. Payments from your customers, and our payment processor
Payments are processed by Xendit (PT Sinar Digital Terdepan), which is licensed and supervised by Bank Indonesia. To accept payments you must complete Xendit's onboarding and identity verification. We cannot enable payments for you until Xendit approves your account, and that decision is Xendit's, not ours.
By accepting payments through WellOpz you also agree to Xendit's terms and conditions and privacy policy, as they apply from time to time. Where those terms impose an obligation on a merchant, that obligation is yours. In particular:
- You must not pass payment processing fees on to your customers as a surcharge, convenience fee or similar. Doing so can result in payment services being terminated.
- You are responsible for every chargeback, refund and payment reversal on your transactions, regardless of the reason or when it arises, together with any related fees or network fines.
- You must provide information and evidence needed to defend a disputed payment within the deadline we or Xendit tell you, which can be as short as seven calendar days. Missing it normally means the dispute is lost automatically.
- You must keep records that prove a service was delivered — bookings, attendance, receipts and correspondence — as these are the evidence used to defend a dispute.
- You may accept payments only for the business you registered with us, and only through your own WellOpz venue site.
Settlement times, holds and any reserve requirement are determined by Xendit. Funds from your customers settle to your own Xendit sub-account; we do not hold your money.
If your chargeback rate becomes excessive, Xendit may suspend or terminate payment services, and we may suspend your ability to take payments through the platform.
6. Recurring payments you take
Where you offer auto-renewing memberships, you must obtain your customer's consent before charging them on a recurring basis. The platform captures and stores that authorisation, along with the date, time and wording shown, and makes it available to you if a payment is later disputed.
You must honour cancellations promptly and must not charge a customer after they have cancelled.
7. Acceptable use and restricted businesses
You may not use WellOpz:
- for anything unlawful, fraudulent or deceptive;
- to take payments for a business our payment processor prohibits, including gambling, adult services, unlicensed pharmaceuticals or drugs, weapons and explosives, counterfeit or infringing goods, unlicensed financial services, and virtual currencies;
- to launder money or finance terrorism, or to evade sanctions;
- to attempt to access another venue's data, probe or disrupt the platform, or circumvent its security or usage limits;
- to send unsolicited marketing to your customers through the platform;
- to resell or white-label the platform without our written agreement.
You confirm that neither your business nor its owners are subject to applicable sanctions, and that you hold every licence and permit your operations require.
8. Customer data and privacy
For the personal data of your customers, you are the data controller and we act as your processor under Indonesia's Personal Data Protection Law (Law No. 27 of 2022). We process that data only to provide the platform and on your instructions.
You are responsible for:
- having a lawful basis to collect and use your customers' data, and giving them the disclosures the law requires;
- obtaining explicit consent before collecting health information, dates of birth or other specific personal data;
- responding to your customers when they exercise their data rights. We will help where we reasonably can.
We will tell you without undue delay if we become aware of a security breach affecting your data, so you can meet your own notification duties. Our Privacy Policy explains what we collect, who we share it with, and how long we keep it.
9. Suspension and termination
You may stop using WellOpz and close your account at any time. Fees already paid are not refunded.
We may suspend or terminate your account: on 30 days' written notice for any reason; or immediately if you materially breach these terms, if payment remains overdue after notice, if we are required to by our payment processor, a regulator or the law, or if we reasonably believe your account is being used for fraud or unlawful activity.
For 30 days after termination you may request a copy of your data, and we will provide what we reasonably can in that time. Contact us at [email protected] to arrange it. After that period we may delete it, except records we are required to keep for tax, accounting or dispute-defence purposes.
Termination does not release you from liability for chargebacks, refunds or reversals on transactions made before it, which may arise months later.
10. Availability and support
We work to keep WellOpz available and reliable, but we do not guarantee uninterrupted service. We may take the platform down for maintenance, and will give advance notice for planned work where practical.
The platform depends on third-party services, including our payment processor and hosting and email providers. We are not responsible for outages or failures originating with them, though we will keep you informed.
11. Intellectual property
We own the platform, its software and its branding. You receive a non-exclusive, non-transferable right to use it while your subscription is active.
You own your own content and your customer data. You grant us the limited licence needed to host and process it in order to provide the service. If you send us feedback, we may use it to improve the platform without obligation to you.
12. Liability
The platform is provided on an "as is" basis. To the fullest extent permitted by law we exclude implied warranties of merchantability and fitness for a particular purpose.
We are not liable for indirect or consequential loss, or for lost profits, revenue, goodwill or data. Our total liability arising out of or in connection with these terms is limited to the subscription fees you paid us in the twelve months before the event giving rise to the claim.
Nothing in these terms excludes liability that cannot be excluded by law, including for death or personal injury caused by negligence, or for fraud.
You will indemnify us against claims arising from the services you sell, your breach of these terms, your misuse of the platform, or your handling of your customers' personal data.
13. Changes to these terms
We may update these terms. For material changes we will give at least 30 days' notice by email. Continuing to use WellOpz after a change takes effect means you accept it; if you do not, you may cancel before then.
Where our payment processor or a regulator requires an immediate change, we may make it sooner and will tell you as soon as we can.
14. General
These terms, together with our Privacy Policy and the plan details shown at checkout, are the entire agreement between us. If any provision is held unenforceable, the rest continue to apply. Not enforcing a right is not a waiver of it. You may not assign this agreement without our written consent; we may assign it to a successor in connection with a merger or sale of the business. We are independent contractors, not partners, and neither may bind the other.
15. Governing law and disputes
These terms are governed by the laws of the Republic of Indonesia. If a dispute arises, both parties will first try in good faith to resolve it through discussion within 30 days of written notice. If that fails, the dispute will be submitted to the exclusive jurisdiction of the courts of South Jakarta, Indonesia.
